1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of Datavine's website, services, and any related consultancy engagements (collectively, the "Services"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Services.
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.
2. Definitions
For the purposes of these Terms:
- "We", "Our", "Us" refers to Datavine, a business operating in Singapore.
- "You", "Your", "Client" refers to the individual or organisation accessing or using our Services.
- "Services" includes our AI consultancy offerings: Data Labelling and Annotation Strategy, AI-Driven Customer Segmentation, and MLOps Foundation Setup.
- "Agreement" means these Terms together with any service-specific agreements or statements of work.
- "Deliverables" means the outputs specified in a statement of work or service agreement.
3. Services Description
We provide specialised AI and machine learning consultancy services to organisations in Singapore and the surrounding region. Our services include:
- Data Labelling and Annotation Strategy: Consultative engagement to establish efficient data labelling processes, including guidelines development, quality frameworks, and tooling recommendations.
- AI-Driven Customer Segmentation: Development of behavioural segmentation models to identify meaningful customer groups, with activation playbooks and monitoring frameworks.
- MLOps Foundation Setup: Technical implementation of operational infrastructure for machine learning model development, deployment, and monitoring.
Services are provided on a project basis as specified in individual statements of work. Service availability, scope, and deliverables are subject to mutual agreement and documented in writing before work commences.
4. User Responsibilities
When using our Services, you agree to:
- Provide accurate, current, and complete information as required for service delivery
- Maintain the confidentiality of any access credentials or login information
- Use our Services only for lawful purposes and in accordance with these Terms
- Not attempt to interfere with or disrupt our Services or servers
- Provide timely feedback, approvals, and access to necessary resources as outlined in service agreements
- Comply with all applicable laws and regulations in your use of deliverables and outputs
- Respect intellectual property rights and maintain appropriate confidentiality
5. Intellectual Property
Our Rights
All content on our website, including text, graphics, logos, methodologies, and software, is the property of Datavine and protected by Singapore and international intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
Deliverables
Ownership of project deliverables is specified in individual service agreements. Unless otherwise agreed, you receive a license to use deliverables for your internal business purposes. We retain ownership of our methodologies, frameworks, and pre-existing intellectual property.
Your Data
You retain all rights to data you provide to us. You grant us a limited license to use your data solely for the purpose of delivering Services. We do not claim ownership of your business data or information.
6. Payment Terms
Service fees are specified in individual statements of work or service agreements. Unless otherwise agreed:
- All prices are quoted in Singapore Dollars (SGD) and exclude Goods and Services Tax (GST) where applicable
- Payment schedules follow milestone-based invoicing as outlined in service agreements
- Invoices are payable within 30 days of the invoice date
- Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law
- We reserve the right to suspend services for accounts with overdue payments exceeding 30 days
Payment methods accepted include bank transfer and other methods as mutually agreed. All banking fees and charges are the responsibility of the paying party.
7. Confidentiality
Both parties agree to maintain confidentiality of information disclosed during the course of our engagement. Confidential information includes business strategies, technical specifications, client data, proprietary methodologies, and any information marked as confidential.
This obligation does not apply to information that is publicly available, already known to the receiving party, independently developed, or required to be disclosed by law. Confidentiality obligations survive termination of the service relationship for a period of 3 years.
8. Service Delivery and Warranties
We will perform Services with reasonable skill and care in accordance with industry standards. However, we provide no guarantees regarding specific business outcomes, model performance metrics, or commercial results from implementing our deliverables.
Our services are provided on an "as is" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Machine learning and AI systems are inherently probabilistic. We cannot warrant that models or systems will perform flawlessly in all scenarios or maintain consistent performance as data distributions change over time.
9. Limitation of Liability
To the maximum extent permitted by Singapore law, our total liability arising from or related to any service engagement shall not exceed the fees paid by you for that specific engagement during the 12 months preceding the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability for fraud, gross negligence, or liabilities that cannot be excluded under Singapore law.
10. Indemnification
You agree to indemnify and hold harmless Datavine, its employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our Services, your violation of these Terms, or your infringement of any third-party rights.
11. Termination
Either party may terminate a service engagement with 30 days written notice, subject to payment for work completed and expenses incurred up to the termination date.
We may terminate immediately if you breach these Terms, fail to make payment when due, or engage in conduct that damages our reputation or business interests.
Upon termination, we will deliver work completed to date. You remain obligated to pay for services rendered. Provisions relating to confidentiality, intellectual property, indemnification, and limitation of liability survive termination.
12. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, acts of government, telecommunications failures, or other force majeure events. Affected timelines will be extended by a period equal to the duration of the force majeure event.
13. Dispute Resolution
In the event of any dispute arising from these Terms or our Services, the parties agree to first attempt resolution through good faith negotiations.
If negotiations do not resolve the dispute within 30 days, either party may pursue mediation before resorting to legal proceedings. Any mediation shall be conducted in Singapore under the Singapore Mediation Centre rules.
These Terms are governed by the laws of Singapore. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Singapore.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised "Last Updated" date. Material changes will be communicated via email to active clients. Your continued use of our Services after changes become effective constitutes acceptance of the updated Terms.
15. General Provisions
Entire Agreement: These Terms, together with any service-specific agreements, constitute the entire agreement between the parties and supersede all prior understandings.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: No waiver of any term shall be deemed a continuing waiver or waiver of any other term.
Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations to any successor or affiliate.
